Acceptance of Terms

Welcome to DBEX Soft (PVT) Ltd. By accessing our platform, using our software, or engaging with our digital services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service.

If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree, please cease all usage immediately.

Description of Services

DBEX Soft provides a comprehensive suite of technology solutions, including but not limited to:

• Custom Enterprise Software Development (Desktop & Web).
• High-performance Mobile Application Development (iOS & Android).
• UI/UX Design and Prototyping.
• Advanced Networking and Infrastructure Setup.
• Cloud Integration and Digital Transformation Consulting.

User Responsibilities

As a user of our platform and services, you agree to:

• Provide accurate, current, and complete information when requested.
• Maintain the security of your account credentials and notify us of any unauthorized access.
• Refrain from reverse-engineering, decompiling, or attempting to extract the source code of our proprietary software.
• Use our services only for lawful purposes and in accordance with international digital regulations.

Intellectual Property

All intellectual property rights associated with our platform, including designs, source code, documentation, and trademarks, remain the exclusive property of DBEX Soft (PVT) Ltd.

• License: We grant you a limited, non-exclusive, non-transferable license to use our services as intended under your specific agreement.
• Restrictions: No part of our platform may be copied, modified, or distributed without express written permission from our executive board.

Payment Terms

Engagement with our professional services is subject to the following financial terms:

• All fees are billed in accordance with the project proposal or service level agreement.
• Payments are due within the timeframe specified on the invoice (standard 14 days).
• Late payments may result in service suspension or the application of administrative interest charges.
• All prices are exclusive of applicable taxes unless otherwise stated.

Limitation of Liability

To the maximum extent permitted by law, DBEX Soft (PVT) Ltd. shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.

Our total liability for any claim arising out of these terms shall not exceed the amount paid by you for the specific service in question during the 6 months preceding the event.

Termination

We reserve the right to terminate or suspend your access to our services at our sole discretion, without prior notice, for reasons including:

• Breach of these Terms of Service.
• Non-payment of professional fees.
• Requests by law enforcement or other government agencies.
• Unexpected technical or security issues.

Governing Law

These Terms of Service and any separate agreements shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

Any legal action or proceeding arising under these terms shall be brought exclusively in the courts of Colombo, Sri Lanka, and the parties hereby consent to the personal jurisdiction and venue therein.
